Terms of Service

These terms govern your use of GWS — GuavaXP Web Services and our website builds, hosting setup, and related services.

Effective date: 14 September 2025

1. Agreement & acceptance

By using gws.guavaxp.com, engaging our booking flow, or paying an invoice, you agree to these Terms of Service (“Terms”). If you are acting on behalf of a company, you represent that you have authority to bind that company.

2. Definitions

  • GWS, we, us — GWS — GuavaXP Web Services.
  • Client, you — the individual or organization ordering services.
  • Services — website design/build, domain registration, hosting setup, email setup, AI Assistant integration, and related deliverables.
  • Deliverables — the website, assets, and configurations produced by GWS for the Client.

3. Services

We offer tiered packages (CHUI, SIMBA, TEMBO) and custom work. Package inclusions are listed on our site and may evolve. Any item not explicitly listed is considered out-of-scope and will be quoted separately.

4. Orders & booking

  • Bookings are submitted via our step-by-step form. We’ll confirm availability and provide the deposit invoice.
  • Project timelines are estimates and depend on Client responsiveness (content, approvals).
  • We may decline projects at our discretion (e.g., prohibited content, infeasible timelines).

5. Payments

  • 50% upfront deposit before project start; 50% upon completion and prior to launch/handover.
  • Invoices are due upon receipt unless otherwise stated. Late or missing payments may pause work or access.
  • Fees are in TZS unless specified; Client is responsible for any bank, gateway, or currency charges.

6. Domains & hosting

  • Domain registration is subject to registry rules and availability. We cannot guarantee a specific name until confirmed.
  • Shared or third-party hosting (including Namecheap) may limit features and performance; uptime is governed by the hosting provider’s policies.
  • We’ll recommend a region (USA/UK/EU/Singapore) where applicable; final choice is the Client’s responsibility.

7. AI Assistant

The on-site AI Assistant is Powered by GuavaXP.com. AI outputs can be inaccurate or incomplete and are provided “as-is” for support/lead-capture. Do not rely on AI for legal, medical, or other professional advice. Client is responsible for reviewing and moderating AI content.

8. Client content & acceptable use

You are responsible for the accuracy and legality of all content you provide and for obtaining necessary rights and permissions.

AProhibited content & uses
  • Illegal, infringing, or harmful content; malware or attempts to disrupt services.
  • Spam, deceptive practices, hate speech, or harassment.
  • High-risk data (e.g., payment cards, health records) unless we have a written agreement to handle such data.
BClient responsibilities
  • Provide timely content/approvals to keep the project on schedule.
  • Comply with applicable laws (privacy, e-commerce, consumer protection).
  • Keep access credentials secure and notify us of suspected compromise.

9. Intellectual property

  • Upon full payment, you receive a non-exclusive license to use the Deliverables for your business. Third-party components remain under their own licenses.
  • We retain our pre-existing tools, libraries, and know-how.
  • Unless you request otherwise, we may showcase the project in our portfolio.

10. Support & maintenance

Basic handover is included at completion. Ongoing maintenance, content updates, migrations, or feature changes are not included unless a support plan is agreed in writing.

11. Warranties & disclaimers

  • Services are provided with reasonable care and skill. Except as expressly stated, they are provided “as-is” without warranties (explicit or implied) including fitness for a particular purpose or non-infringement.
  • We do not guarantee search rankings, revenue, or specific conversion results.
  • Third-party outages or policy changes (registrars, hosts, email providers, APIs) are outside our control.

12. Limitation of liability

To the maximum extent permitted by law, GWS is not liable for indirect, incidental, or consequential damages, lost profits, or loss of data. Our aggregate liability arising out of these Terms shall not exceed the fees paid by you for the specific Service giving rise to the claim.

13. Termination

  • Either party may terminate for material breach if not cured within a reasonable period after notice.
  • We may suspend or end work for non-payment or prohibited use.

14. Cancellation & refunds

  • Before project kickoff, you may cancel and we’ll refund any deposit not already committed to costs.
  • After kickoff, the deposit primarily covers discovery, planning, and initial execution; cancellations at this stage may forfeit part or all of the deposit depending on work completed and non-recoverable expenses.
  • Domain fees and third-party costs are non-refundable once purchased.

15. Privacy

Your data is handled according to our Privacy Policy. By using our Services, you consent to the collection and use described there.

16. Change requests

Requests that alter scope (new features, extra pages, design changes after approval) will be quoted and scheduled separately. We’ll inform you of impacts on timeline and cost before proceeding.

17. Delivery & acceptance

  • We’ll present the Deliverables for review. Launch/handover occurs after final payment.
  • If you find issues, report them within a reasonable period and we’ll address items that do not meet agreed requirements.

18. Third-party services

Services may integrate third-party tools (hosting, email, analytics, AI). Their terms and privacy policies apply. You are responsible for any third-party accounts you own.

19. Governing law

These Terms are governed by the laws of the United Republic of Tanzania. Disputes will be subject to the non-exclusive jurisdiction of its courts.

21. Changes to these terms

We may update these Terms from time to time. We’ll revise the “Effective date” above and, if changes are significant, provide additional notice.
